Terms of Service

1. Acceptance of Terms

By connecting your wallet and interacting with the BasePaint Bundle Marketplace smart contracts, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms").

You represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into this agreement
  • You are not prohibited by law from accessing or using the Services

If you do not agree to these Terms, do not use the Services.

2. What This Platform Is (And What It Is NOT)

BasePaint Bundle Marketplace is a peer-to-peer interface that allows users to interact with publicly deployed smart contracts on the Base blockchain (Layer 2).

We Are NOT:

  • ❌ A wallet provider (you control your own wallet and private keys)
  • ❌ A custodian (we do not hold, store, or control your assets)
  • ❌ A broker, dealer, or exchange (transactions occur directly between users)
  • ❌ A financial institution or money services business
  • ❌ A financial, legal, or tax advisor
  • ❌ Responsible for smart contract execution, bugs, or outcomes
  • ❌ A party to any transaction between users

We Are:

  • ✅ A simple interface to interact with blockchain
  • ✅ A tool that displays publicly available blockchain data
  • ✅ A non-custodial, decentralized marketplace

CRITICAL: The smart contracts operate autonomously on the Base blockchain. Once deployed, they cannot be modified, paused, or stopped by anyone, including us.

3. Early Stage Platform

⚠️ IMPORTANT RISK DISCLOSURE ⚠️

You acknowledge and agree that:

  1. Independent Project: This is an independent project built by a solo developer. While security audits have been completed (9.0/10 score), the platform is new and still maturing.
  2. Smart Contract Risks: Despite comprehensive testing and audits, bugs may still exist in smart contracts that could result in loss of funds.
  3. Use at Your Own Risk: You assume ALL risk of using this platform. If you are not comfortable with this level of risk, DO NOT USE THE SERVICES.
  4. No Liability: We bear ZERO liability for any issues, losses, or damages arising from your use of this platform.

4. User Responsibilities (You Are SOLELY Responsible)

By using this platform, you acknowledge that you are SOLELY AND ENTIRELY RESPONSIBLE for:

Legal Compliance

  • Determining whether your use complies with laws in YOUR jurisdiction
  • Obtaining any required licenses or permissions
  • Complying with all applicable securities, commodities, and financial regulations
  • Understanding that laws vary by country, state, and locality

We do NOT provide legal advice. Consult your own attorney.

Tax Obligations

  • Determining your tax obligations (income, capital gains, etc.)
  • Reporting and paying all applicable taxes
  • Maintaining records for tax purposes

We do NOT provide tax advice. Consult your own tax professional.

Wallet Security

  • Securing your private keys and seed phrases
  • Using secure wallets and devices
  • Protecting against phishing, malware, and hacks
  • Understanding that lost private keys = lost assets permanently

We CANNOT recover lost private keys or reverse transactions.

Asset Verification

  • Verifying the authenticity and legitimacy of NFTs
  • Checking contract addresses before transactions
  • Understanding that counterfeit or fraudulent NFTs may exist
  • Conducting your own due diligence

We do NOT verify, authenticate, or guarantee the legitimacy of any NFT.

5. Smart Contract Risks & Security Measures

Interacting with smart contracts carries inherent risks. However, we've taken extensive measures to minimize them:

Built-in Protections:

  • Reentrancy protection on all transactions
  • Signature replay protection (each signature used only once)
  • Full bundle validation (all 365 NFTs checked before transfer)
  • Emergency pause functionality
  • UUPS upgradeable (allows bug fixes without losing data)

Remaining Risks

Despite our security efforts, no software is 100% bug-free. Please be aware:

  • Smart contracts may still contain undiscovered bugs or vulnerabilities
  • Blockchain transactions are final and irreversible

Upgradeability

  • Contract uses UUPS proxy pattern (standard OpenZeppelin implementation)
  • This allows fixing critical bugs without losing your data or listings
  • Upgrades require owner signature (secured with hardware wallet)

BasePaint-Specific Information

  • Approval-Based Listings: NFTs remain in your wallet until purchase (familiar OpenSea pattern)
  • WETH for Offers: Offers use WETH (Wrapped ETH) requiring approvals
  • Bundle Validation: Year 1 = 365 NFTs (days 1-365), Year 2 = 365 NFTs (days 366-730)
  • Supply: Year 1: 155 complete sets, Year 2: 103 complete sets (after burns)

6. "AS IS" Disclaimer (NO WARRANTIES)

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • ✖️ Merchantability
  • ✖️ Fitness for a particular purpose
  • ✖️ Title and non-infringement
  • ✖️ Accuracy, completeness, or reliability
  • ✖️ Uninterrupted or error-free operation
  • ✖️ Freedom from viruses, bugs, or malicious code

You use the Services entirely at your own risk.

7. Limitation of Liability (CRITICAL)

Maximum Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability to you for ANY and ALL claims is LIMITED to the LESSER of:

  1. $100 USD, OR
  2. The total amount of platform fees you paid in the past 30 days

This cap applies to:

  • ALL types of claims (contract, tort, negligence, strict liability, etc.)
  • ALL types of damages (direct, indirect, incidental, consequential, punitive, etc.)
  • Loss of funds, assets, profits, data, or business
  • Smart contract bugs, exploits, or failures
  • ANY other cause, known or unknown

8. Indemnification (You Protect Us)

You agree to indemnify, defend, and hold harmless the following parties from ANY claims, damages, losses, liabilities, and expenses (including attorney fees):

Protected Parties:

  • The platform developers (solo dev 🧑‍💻)
  • Contributors and advisors
  • AI assistants who helped build this (yes, even Claude! 🤖)
  • Service providers and partners

9. Platform Fees (Crystal Clear)

Service Fee: 2%

A 2% service fee is automatically deducted from every purchase transaction.

Example:

  • You buy an NFT bundle for 100 ETH
  • Seller receives: 98 ETH
  • Marketplace receives: 2 ETH (service fee)

Additional Fees (NOT platform fees): You are also responsible for gas fees, network fees, and any wallet provider fees.

ALL transactions are FINAL. Service fees cannot be refunded under any circumstances.

10. Governing Law & Jurisdiction

Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

Dispute Resolution

You acknowledge that:

  • Blockchain transactions are immutable and irreversible
  • No entity has authority to reverse or modify transactions
  • Disputes about smart contract execution cannot be resolved by us
  • Your sole remedy is to not use the platform

If you believe you have a valid legal claim, you may pursue it through courts of competent jurisdiction in your home country/state.

11. Fun Disclaimer (Because Why Not?)

This platform was built by:

  • 🧑‍💻 One human developer (me, a hobby programmer)
  • 🤖 One AI assistant (Claude, who is virtual and has no legal existence)
  • ☕ Lots of coffee
  • 🌙 Many late nights
  • ❤️ Passion for the BasePaint community

Neither the developer nor the AI can be held responsible if:

  • The code breaks (software is hard!)
  • You lose money (crypto is risky!)
  • Aliens invade and disable the blockchain (unlikely but technically possible!)
  • The Base network decides to take a vacation (it happens!)

Remember:

  • This is a HOBBY project, not a Fortune 500 company
  • We have NO customer support team (just me, one person)
  • We have NO legal team (just these Terms of Service)
  • We have NO insurance policy to cover losses
  • We have NO deep pockets to pay damages

Use at your own risk, have fun, and be responsible!

12. Final Acknowledgment

By using this platform, you acknowledge that:

  • ✅ I have read and understood these Terms in their entirety
  • ✅ I understand this is an early-stage, independent platform
  • ✅ I understand smart contracts have risks and may contain bugs
  • ✅ I understand blockchain transactions are IRREVERSIBLE
  • ✅ I understand I may LOSE ALL FUNDS due to bugs, errors, or exploits
  • ✅ I am SOLELY responsible for compliance with laws in my jurisdiction
  • ✅ I am SOLELY responsible for my wallet security and private keys
  • ✅ I understand the developers have LIMITED LIABILITY (max $100)
  • ✅ I am using this platform ENTIRELY AT MY OWN RISK
